Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vomediq AI Clinical Operating System, our website and related services (collectively, the "Service") operated by Vomediq ("Vomediq", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

The Service is intended for licensed clinicians, healthcare organizations and their authorized staff. You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account.

2. Your clinic's role

When Vomediq is used by a clinic or hospital, that organization is the controller of the clinical data entered into the Service. Vomediq acts as a processor and provides the technology under a written agreement with the clinic.

3. Acceptable use

  • Do not use the Service for any unlawful, harmful, deceptive or infringing activity.
  • Do not attempt to gain unauthorized access, disrupt the Service or interfere with other users.
  • Do not reverse engineer, scrape, resell or use the Service to build a competing product.
  • Do not upload content you do not have the right to process, or content that violates patient consent requirements.

4. Clinical responsibility

Vomediq is a clinical productivity tool. AI-generated notes, summaries and prescription drafts are decision support, not a substitute for professional medical judgment. The treating clinician remains solely responsible for reviewing, editing, confirming and signing any clinical output before it is used for care or dispensing.

5. Data and privacy

Our handling of personal and clinical information is described in our Privacy Policy. You warrant that you have the necessary authority and consents to upload and process information through the Service.

6. Intellectual property

Vomediq and its licensors own the Service, including all software, models, branding and content we provide. Your clinic retains ownership of the clinical content it inputs. You grant Vomediq the limited rights required to host, process, secure and deliver that content back to you as part of the Service.

7. Fees

If your plan includes fees, they will be described in your order or subscription. Fees are non-refundable except where required by law. We may change pricing on renewal with prior notice.

8. Third-party services

The Service may integrate with third-party services (for example, authentication, cloud hosting, speech and language model providers). Your use of those services is subject to their own terms. We are not responsible for third-party services.

9. Suspension and termination

We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or its users. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Vomediq disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty regarding the accuracy or completeness of AI-generated output. The Service is not a medical device and does not provide medical advice.

11. Limitation of liability

To the maximum extent permitted by law, Vomediq's total liability arising out of or relating to the Service will not exceed the amounts you paid to Vomediq for the Service in the twelve months before the event giving rise to the claim. Vomediq will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

12. Indemnification

You will defend and indemnify Vomediq against claims arising from your use of the Service in breach of these Terms, your clinical decisions, or your failure to obtain required patient consents.

13. Changes to the Service and Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws applicable to the Vomediq entity contracting with you, without regard to conflict-of-law principles. Courts of competent jurisdiction in that location will have exclusive jurisdiction, unless mandatory local law provides otherwise.
